Contracts, Operations, and Protections

Ashley is lead attorney and owner of Seeley LLC and owns a second small business. A core area of her law practice is business/commercial litigation. With this background, her legal support services are as practical as they are proactive. After all, the best way to resolve a problem is to avoid it in the first place.

  • Opening. This includes determining what legal entity is best (e.g., LLC, LLP, PLLC, etc.); completing registrations; drafting documents to open the business; identifying potential trademark, copyright, and trade secret concerns; and drafting contracts, policies, and procedures to optimize operations and avoid potential conflicts and challenges.

  • Operating. This on-going support includes advising clients on best practices for employees, procedures, processes, and documents (handbooks, policies, and contracts) to ensure the business operations and employment practices comply with applicable law and – just as important – that the business has agreements and policies in place to help avoid conflicts, resolve conflicts more quickly, and avoid issues later.

  • Trademark. Protecting your intellectual property and brand is core to a successful business operation strategy. We help you determine whether your brand (name or design) is available for use and registration, write and submit your application to the United States Patent and Trademark Office, and send or respond to cease-and-desist letters for trademark infringement or dilution.

  • Patent. When you bring innovation to the marketplace, you need to consider patent protection. This process is worthwhile but can be long, difficult, and confusing. We work closely with you to prepare and file patent applications. We advise on strategy and tactics to put you in the best position to obtain your patent and protect your innovation.

  • Separation/Buyout/Closing. When it is time to close a business, ensuring steps are properly followed minimizes conflict, avoids litigation later, and ensures compliance with applicable law. Ashley also represents business owners in negotiations and litigation when there are disagreements on the terms of a business separation, buyout, or closing.
